Agreement to Terms

Welcome to ActiveLessons.com. These Terms of Service ("Terms") constitute a legally binding agreement between you and UsefulWriter LLC ("we," "us," or "our") regarding your use of the ActiveLessons.com website and services (collectively, the "Service").

By using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

ActiveLessons.com is owned and operated by UsefulWriter LLC, a Virginia limited liability company.

We plan to introduce additional services, which may include:

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

User Accounts and Subscriptions

Newsletter Subscription

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Receive and read our newsletter content
• Print individual newsletter issues for your personal use only

This license does not include any right to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content

Trademarks

"ActiveLessons," "Digital Skills for Curious People," and all related logos and marks are trademarks of UsefulWriter LLC. You may not use these marks without our prior written permission.

User Conduct and Termination

You agree to defend, indemnify, and hold harmless UsefulWriter LLC and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney's fees) arising from:

1. Your use of the Service
2. Your violation of these Terms
3. Your violation of any third-party rights, including intellectual property rights
4. Any content you submit or share through the Service
5. Your conduct in connection with the Service

This indemnification obligation will survive termination of these Terms and your use of the Service.

Our Service may contain links to third-party websites or services (such as Kit/ConvertKit for email delivery) that are not owned or controlled by UsefulWriter LLC.

We have no control over, and assume no responsibility for:

• The accuracy, completeness, or usefulness of information on third-party sites

Refund Policy

• Service outages lasting more than 30 consecutive days
• Fraudulent charges to your account

These exceptions are entirely at our discretion and do not create any obligation for future refunds.

Dispute Resolution and Governing Law

Informal Resolution

Before filing a formal claim, you agree to contact us at support@activelessons.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 60 days.

Arbitration Rules

Arbitration will be conducted as follows:

1. Administrator: Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
2. Location: Arbitration will take place in Charlottesville, Virginia, or another mutually agreed location
3. Costs: Each party will bear its own costs, unless the arbitrator awards costs to the prevailing party
4. Single Arbitrator: Disputes will be resolved by a single arbitrator
5. Written Decision: The arbitrator will provide a written decision with findings of fact and conclusions of law
6. Binding: The arbitrator's decision is final and binding, except for limited judicial review under the Federal Arbitration Act

Class Action Waiver

You and UsefulWriter LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

This means:

• No class arbitrations or class actions
• No representative actions or consolidated proceedings
• Each dispute must be brought individually

If this class action waiver is found to be unenforceable, the entire arbitration provision will be void.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

Venue

If arbitration is not applicable or is found to be unenforceable, you agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Charlottesville, Virginia, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

Our Right to Modify

We reserve the right to modify these Terms at any time. When we make changes:

1. We will update the "Last Updated" date at the top of this document
2. We will post the revised Terms on our website
3. We may notify you via email of material changes (but are not required to do so)

Your Acceptance

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

If you do not agree to the modified Terms:

• You must stop using the Service immediately
• You may unsubscribe from our newsletter
• Continued use after changes means you accept the new Terms

Material Changes

• The remaining provisions shall remain in full force and effect

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent.

We may assign these Terms at any time without notice or consent.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God (earthquakes, floods, fires, storms)
• War, terrorism, or civil unrest
• Strikes or labor disputes
• Government actions or regulations
• Internet or telecommunications failures
• Pandemics or public health emergencies

Survival

The following provisions shall survive termination of these Terms:
